HARVEST COOP MARKETS Board Meeting Minutes, 30 MAY 2006 Public Session Minutes Taken By Ava Chan Attending: Mike St. Clair (GM); Jessie Msyzka, Betsy Adams, Karin Emry, John Mascia (board), Amy Cotter Absent, excused: Sujatha Byravan En route: Steve Clifford, Guest: Hatch Sterrett, Joshua Laskin Public Session Note: all agree to continue to include committee minutes in board packet, but no need to vote to approve them. Examine public minutes for board retreat, April 1, 2006. On page 8: please change the note about the MSCC to clarify that it is indeed a board committee, not a staff committee. Attending the staff-board meeting was “Sandra Andrew,” not “Sandra Palomo.” In last paragraph of page 8, it should say, “Cash register discounts to member-owners have continuously weakening Harvest.” Betsy moved, Amy 2nded to approve minutes as amended, all approve. Minor Agenda Changes Made Public Comments Hatch is one of the founding members of the Cambridge Coop. He was motivated to come because of the ATM machine – the manufacturer, Diebold, also manufactures no-paper voting machines. Diebold is headed by a pro-Bush Republican; the voting machines can be hacked into pretty easily. As a Coop with values we should not support Diebold. Mike replies by explaining how we got the ATM; choosing a small federal credit union over larger banks. We don’t get income from this contract. Initial responses have been positive about the ATM service and the choice of a small federal credit union. Hatch says that at the front desk, he’s heard that there are other comments about Diebold. Mike will check with Chris about the Diebold comments and Harvest will research the issue to hear what the partner credit union says, what choices are available for ATMs, and keep this aspect included in our HARVEST COOP MARKETS Board Meeting Minutes, 30 MAY 2006 Public Session No amendments to these minutes Amy moves, Betsy seconds to approve, 4-0-1 (Karin abstains) Deciding on public agendas/notes: before the meeting the agenda should definitely be posted in the stores and on the website. The public board packet (the minutes, etc.) doesn’t need to be available digitally until they are approved. Note that a couple of board packets (public versions) should be available at the meeting. Public GM Report Net net of sales is flat this week. Cambridge is up against grand reopening of May 2005 – Cambridge store is a little low compared to same time last year, but made up for by high JP numbers so result is flat Last four months of gross margin has been steadily increasing.
