Attendees: David Hermann, Sujatha Byravan, Jeff Rosenblum, Amy Cotter, Karin Emry, Erica Mintzer, Betsy Adams, Elisa Alonso, Loren Rodgers (by phone), John Rasputten (staff)

Absent: Mike Wiecek (excused), Rob Martin (excused), Jessie Myszka (excused)

1. Introductions and Organizational Issues
· Code of Conduct/ Conflict of Interest documents handed out
§ Jeff handed out code of conduct/conflict of interest documents for all Directors to sign and return
§ Jeff announced that he would distribute copies of Board organizational documents at the end of the meeting, for all Directors to review –amended bylaws, committee descriptions, all documents relating to Board policies and responsibilities, etc.
· Additional documents handed out – copy of Loren’s email
· Approval of 31-Jan-05 Board Meeting Minutes (unanimous)

2. President’s Report, Public
Erica offered to rewrite Report to correct errors
· Discussion of Process for writing up/approving Committee Minutes/President’s Report
Þ Resulting decision: in future, Committees will submit their reports divided into 2 sections: a ‘public summary’ and ‘full minutes’- with the salient points that are appropriate for incorporating into the public report in the ‘public summary’ section
§ All approved of this new process provisionally, until future discussion of larger governance issues/process
